EtherX Purchaser Terms of Service

Welcome to EtherX. By purchasing and/or subscribing to services, products, or features offered by EtherX (collectively, “Paid Services”), you agree to comply with and be bound by these Purchaser Terms of Service (“Terms”), in addition to EtherX’s general Terms of Service, Privacy Policy, and other applicable policies or agreements. These Terms outline the conditions and obligations for purchasing, accessing, and using Paid Services on the EtherX platform. Please review them carefully before making any purchases.
1. Acceptance of Terms
By purchasing Paid Services, you acknowledge that you have read, understood, and agree to these Terms. You are also agreeing to be bound by any additional terms related to specific Paid Services as indicated at the point of sale or in any documentation. If you do not agree to any part of these Terms, you must not purchase or use Paid Services.
2. Eligibility
To purchase and use Paid Services on EtherX, you must be:
At least 18 years of age or the age of majority in your jurisdiction, or
Have the express consent of your parent or guardian if you are under the age of majority but above 13 years old.
If you are acting on behalf of a company, organization, or legal entity, you confirm that you have the authority to bind that entity to these Terms.
3. Paid Services
A. Subscriptions and One-Time Purchases:
EtherX offers both recurring subscription services and one-time purchase options. The details, pricing, and specific features of Paid Services will be described at the time of purchase.
B. Auto-Renewal:
Certain Paid Services are subscription-based and may auto-renew unless canceled prior to the renewal date. By subscribing, you agree to recurring charges using your selected payment method. You can manage or cancel subscriptions through your account settings on EtherX or the payment platform used for the initial purchase.
C. Pricing and Payment:
Prices for Paid Services will be as listed at the time of your purchase. All payments are made in advance, and you agree to provide valid payment information. Prices are subject to change, and EtherX will notify you of any price changes before they take effect. You are responsible for any additional charges, such as taxes, credit card fees, or foreign transaction fees, as applicable.
4. Refund Policy
A. Non-Refundable Payments:
All payments made for Paid Services are non-refundable unless required by law or explicitly stated in these Terms. EtherX does not provide refunds or credits for partially used subscription periods, unused services, or any early cancellation.
B. Exceptions for Users in the EU and UK:
If you are a resident of an EU Member State or the UK, you have the right to withdraw from your subscription within 14 days of purchase. However, once access to the Paid Service has commenced, you waive your right to withdraw. You can request a refund only before the Paid Service begins.
5. Cancellation of Paid Services
A. Subscription Cancellation:
You may cancel your subscription for Paid Services at any time by managing your subscription settings on EtherX or through the payment platform used. Your cancellation will take effect at the end of the current billing cycle. No refunds will be issued for any remaining portion of the subscription period unless otherwise required by law.
B. Termination by EtherX:
EtherX reserves the right to suspend or terminate your access to Paid Services without notice if:
You fail to pay for the services,
You violate these Terms or any other EtherX policies,
Your use of the Paid Services creates a risk or legal exposure for EtherX.
6. Changes to Paid Services
EtherX may modify, suspend, or discontinue any Paid Services at any time without liability to you. If material changes affect your subscription, EtherX will notify you in advance, and you may cancel the service before the changes take effect.
7. Payment Methods and Billing
A. Payment Processor:
EtherX may use third-party payment processors to handle payments for Paid Services. You agree to abide by the payment processor’s terms and conditions. EtherX is not responsible for any errors or delays caused by the payment processor.
B. Account Information:
You must keep your billing and payment information accurate and up to date. If your payment method is declined, EtherX reserves the right to cancel your access to the Paid Services until valid payment information is provided.
8. Taxes and Fees
All fees for Paid Services are exclusive of taxes, levies, or duties imposed by applicable taxing authorities. You are responsible for paying any such taxes or fees, excluding taxes based on EtherX’s net income. Depending on your location, EtherX may collect and remit such taxes on your behalf.
9. Restrictions on Use of Paid Services
You may not:
Use Paid Services for any illegal or unauthorized purpose;
Share, sell, or transfer your access to Paid Services to any third party;
Reverse-engineer, decompile, or disassemble any software provided through the Paid Services;
Circumvent any restrictions, limitations, or security features associated with Paid Services.
10. Limitation of Liability
To the maximum extent permitted by law, EtherX is not liable for any indirect, special, incidental, consequential, or punitive damages arising from your use of Paid Services. EtherX’s total liability for any claims under these Terms will not exceed the total amount paid by you for the relevant Paid Services in the past six (6) months.
11. Governing Law
These Terms are governed by the laws of the Republic of Croatia, without regard to conflict of law principles. Any legal action or proceeding arising from these Terms will be brought exclusively in the courts of Croatia, unless otherwise required by applicable law.
12. Dispute Resolution and Arbitration
For users in Croatia, any disputes arising out of or relating to these Terms or the Paid Services will be resolved through binding arbitration or mediation in accordance with Croatian law. By agreeing to these Terms, you waive the right to bring any claims in court or participate in class-action lawsuits unless otherwise stipulated by Croatian law.
13. Changes to These Terms
EtherX reserves the right to modify these Purchaser Terms of Service at any time. Changes will not be retroactive, and the most current version of the Terms will apply. EtherX will notify you of any material changes before they take effect, either via email or through notifications on the EtherX platform.
